Guest Terms and Conditions
1. No Compensation: Guests on The Digital Download agree that theirs is a voluntary appearance. No compensation, direct or in-kind, is offered to anyone who may appear on the broadcast.
2. Confidentiality: The Digital Download is a worldwide broadcast publicly accessible across numerous online platforms. We strongly discourage the sharing of sensitive, confidential, or proprietary information; however, neither The Digital Download, its hosts, directors, panelists, nor audience, will not be held liable for any information that may be shared during the recording of the broadcast.
3. Intellectual Property: The rights to the content of the broadcast, including any audio, video, or written material, are the sole property of The Digital Download. Guests are welcome to use copies of the material for purposes of highlighting their subject matter expertise, but the content (including but not limited to videos, photos, audio recordings, transcripts, or blogs) may not be used in paid or paid promotional materials of any kind. Furthermore, Guests will use discretion and limit the sharing of other participants’ contributions in their own highlight reels.
4. Use of Name and Likeness: Guests provide explicit permission to use their name, image, and likeness in connection with the broadcast and any promotional material, both before and after the event.
5. Indemnification: Guests agree to indemnify and hold harmless The Digital Download, its hosts, directors, panelists, and audience, from and against any and all claims, demands, losses, damages, costs, expenses, and liabilities, including reasonable attorney's fees, arising from or in connection with any breach by a Guest of this agreement, including, without limitation, any claims for defamation, invasion of privacy, or infringement of intellectual property rights.
6. Release of Claims: Guests hereby release and forever discharge The Digital Download, its hosts, directors, panelists, and audience, from any and all claims, demands, losses, damages, costs, expenses, and liabilities, of any kind or nature, whether known or unknown, suspected or unsuspected, arising from or in connection with Guest's participation in the podcast, including, without limitation, any claims for compensation, damages, or other relief.
7. Termination: The Digital Download reserves the right to terminate any Guest's participation in the broadcast at any time, for any reason.
8. Limitation of Liability: In no event shall The Digital Download, its hosts, directors, panelists, nor audience be liable to any Guest or any third party for any indirect, incidental, special, or consequential damages, or any loss of profits, revenue, or business, arising from or in connection with a Guest's participation in the podcast, even if a representative of The Digital Download has been advised of the possibility of such damages.
9. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law provisions. The parties agree to submit to the exclusive jurisdiction of the courts of the Commonwealth of Massachusetts for any matter arising out of or relating to this agreement.
